This website is operated by HER-AGE S.R.L.

Throughout the site, the terms “we”, “us” and “our” refer to HER-AGE SRL.

HER-AGE S.R.L. offers this website, including all information, tools and services available from this site to you, the user, conditioned upon your acceptance of all terms, conditions, policies and notices stated here. 

By visiting our site and/ or purchasing something from us, you engage in our “service” and agree to be bound by the following terms and conditions (“Terms of Service”, “Terms”), including those additional terms and conditions and policies referenced herein and/or available by hyperlink. These Terms of Service apply to all users of the site, including without limitation users who are browsers, vendors, customers, merchants, and/ or contributors of content.

Please read these Terms of Service carefully before accessing or using our website. By accessing or using any part of the site, you agree to be bound by these Terms of Service. If you do not agree to all the terms and conditions of this agreement, then you may not access the website or use any Services. If these Terms of Service are considered an offer, acceptance is expressly limited to these Terms of Service.

We reserve the right to update, change or replace any part of these Terms of Service by posting updates and/or changes to our website. Our store is hosted on Shopify Inc. They provide us with the online e-commerce platform that allows us to sell our products and Services to you.

SECTION 1 - ONLINE STORE TERMS
By agreeing to these Terms of Service, you represent that you are at least the age of majority in your state or province of residence, or that you are the age of majority in your state or province of residence and you have given us your consent to allow any of your minor dependents to use this site.
You may not use our products for any illegal or unauthorized purpose nor may you, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws).
You must not transmit any worms or viruses or any code of a destructive nature.
A breach or violation of any of the Terms will result in an immediate termination of your Services.

SECTION 2 - GENERAL CONDITIONS
We reserve the right to refuse Service to anyone for any reason at any time.
You understand that your content (not including credit card information), may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices. Credit card information is always encrypted during transfer over networks.
You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service, or access to the Service or any contact on the website through which the Service is provided, without express written permission by us.
The headings used in this agreement are included for convenience only and will not limit or otherwise affect these Terms.

SECTION 3 - ACCURACY, COMPLETENESS AND TIMELINESS OF INFORMATION
We are not responsible if information made available on this site is not accurate, complete or current. The material on this site is provided for general information only and should not be relied upon or used as the sole basis for making decisions without consulting primary, more accurate, more complete or more timely sources of information. Any reliance on the material on this site is at your own risk.
This site may contain certain historical information. Historical information, necessarily, is not current and is provided for your reference only. We reserve the right to modify the contents of this site at any time, but we have no obligation to update any information on our site. We shall not be liable to you or to any third-party for any modification, price change, suspension or discontinuance of the Service.

SECTION 5 - PRODUCTS OR SERVICES 
Certain products or Services may be available exclusively online through the website. These products or Services may have limited quantities and are subject to return or exchange only according to our Refund Policy
We have made every effort to display as accurately as possible the colors and images of our products that appear at the store. We cannot guarantee that your computer monitor's display of any color will be accurate.
We reserve the right, but are not obligated, to limit the sales of our products or Services to any person, geographic region or jurisdiction. We may exercise this right on a case-by-case basis. We reserve the right to limit the quantities of any products or Services that we offer. All descriptions of products or product pricing are subject to change at anytime without notice, at the sole discretion of us. We reserve the right to discontinue any product at any time. Any offer for any product or Service made on this site is void where prohibited.
We do not warrant that the quality of any products, Services, information, or other material purchased or obtained by you will meet your expectations, or that any errors in the Service will be corrected.

SECTION 6 - ACCURACY OF BILLING AND ACCOUNT INFORMATION
We reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per household or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. In the event that we make a change to or cancel an order, we may attempt to notify you by contacting the e‑mail and/or billing address/phone number provided at the time the order was made. We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers or distributors.

You agree to provide current, complete and accurate purchase and account information for all purchases made at our store. You agree to promptly update your account and other information, including your email address and credit card numbers and expiration dates, so that we can complete your transactions and contact you as needed.

SECTION 7 - OPTIONAL TOOLS
We may provide you with access to third-party tools over which we neither monitor nor have any control nor input.
You acknowledge and agree that we provide access to such tools ”as is” and “as available” without any warranties, representations or conditions of any kind and without any endorsement. We shall have no liability whatsoever arising from or relating to your use of optional third-party tools.
Any use by you of the optional tools offered through the site is entirely at your own risk and discretion and you should ensure that you are familiar with and approve of the terms on which tools are provided by the relevant third-party provider(s).
We may also, in the future, offer new Services and/or features through the website (including the release of new tools and resources). Such new features and/or Services shall also be subject to these Terms of Service.

You agree that your comments will not violate any right of any third-party, including copyright, trademark, privacy, personality or other personal or proprietary right. You further agree that your comments will not contain libelous or otherwise unlawful, abusive or obscene material, or contain any computer virus or other malware that could in any way affect the operation of the Service or any related website. You may not use a false e‑mail address, pretend to be someone other than yourself, or otherwise mislead us or third-parties as to the origin of any comments. You are solely responsible for any comments you make and their accuracy. We take no responsibility and assume no liability for any comments posted by you or any third-party.

We reserve the right to correct any errors, inaccuracies or omissions, and to change or update information or cancel orders if any information in the Service or on any related website is inaccurate at any time without prior notice (including after you have submitted your order).
We undertake no obligation to update, amend or clarify information in the Service or on any related website, including without limitation, pricing information, except as required by law. No specified update or refresh date applied in the Service or on any related website, should be taken to indicate that all information in the Service or on any related website has been modified or updated.

We do not guarantee, represent or warrant that your use of our Service will be uninterrupted, timely, secure or error-free.
We do not warrant that the results that may be obtained from the use of the Service will be accurate or reliable.
You agree that from time to time we may remove the Service for indefinite periods of time or cancel the Service at any time, without notice to you.
You expressly agree that your use of, or inability to use, the Service is at your sole risk. The Service and all products and Services delivered to you through the Service are (except as expressly stated by us) provided 'as is' and 'as available' for your use, without any representation, warranties or conditions of any kind, either express or implied, including all implied warranties or conditions of merchantability, merchantable quality, fitness for a particular purpose, durability, title, and non-infringement.
In no case shall her-age , our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, Service providers or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of any of the Service or any products procured using the Service, or for any other claim related in any way to your use of the Service or any product, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the Service or any content (or product) posted, transmitted, or otherwise made available via the Service, even if advised of their possibility. Because some states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such states or jurisdictions, our liability shall be limited to the maximum extent permitted by law.

SECTION 14 - INDEMNIFICATION
You agree to indemnify, defend and hold harmless her-age and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, Service providers, subcontractors, suppliers, interns and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of these Terms of Service or the documents they incorporate by reference, or your violation of any law or the rights of a third-party.

SECTION 15 - SEVERABILITY
In the event that any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service, such determination shall not affect the validity and enforceability of any other remaining provisions.

SECTION 16 - TERMINATION
The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes.
These Terms of Service are effective unless and until terminated by either you or us. You may terminate these Terms of Service at any time by notifying us that you no longer wish to use our Services, or when you cease using our site.
If in our sole judgment you fail, or we suspect that you have failed, to comply with any term or provision of these Terms of Service, we also may terminate this agreement at any time without notice and you will remain liable for all amounts due up to and including the date of termination; and/or accordingly may deny you access to our Services (or any part thereof).

SECTION 17 - ENTIRE AGREEMENT
The failure of us to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.
These Terms of Service and any policies or operating rules posted by us on this site or in respect to the Service constitutes the entire agreement and understanding between you and us and governs your use of the Service, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Service).
Any ambiguities in the interpretation of these Terms of Service shall not be construed against the drafting party.

These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of Italy.

SELLER TERMS (ENGLISH )

The Seller is a private individual or a business entity (i.e., a natural person or a company/enterprise) that uses the Her-Age S.R.L. Services (as defined below) either for purposes unrelated to their professional activity—when conducted on an occasional and non-professional basis, acting under their personal tax code—or as a company conducting stable and professional activity under a VAT number (hereinafter, the "Seller").

The Seller must carefully review and accept the following General Terms and Conditions (hereinafter, the "GTC") to personally sell their Products (as defined below) on the Her-Age platform. These products have either been shipped to Her-Age S.R.L. by the Seller or collected by Her-Age S.R.L. under a service agreement for sales promotion based on a service contract pursuant to Article 1655 of the Italian Civil Code. This agreement authorizes Her-Age to promote the sale of the products, collect payment on behalf of the Seller, and subsequently remit the profit to the Seller (Seller’s Profit), which is the sale price minus the service commission fees.

The Products always remain the property of the Seller until they are sold, even when physically located at Her-Age S.R.L. Her-Age S.R.L acts solely as a service provider for promoting the sale of the Seller’s Products under a paid service agreement pursuant to Article 1655 of the Italian Civil Code. This includes collecting payment on behalf of the Seller and remitting the sale profit, defined as the sale price minus Her-Age’s service fees.

These GTC describe the terms and conditions applicable to accessing the services of the Her-Age platform, her-age.com (hereinafter, the "Site"), for the support and promotion of sales via a service contract pursuant to Article 1655 of the Italian Civil Code for Products sold through the Site.

For sales, private Sellers acting on an occasional and non-professional basis with a personal tax code must issue a receipt upon the Buyer’s explicit request. Professional Sellers (businesses with a VAT number) must always issue a proper invoice to the Buyer, regardless of whether the Buyer requests it.

This document constitutes a legally binding agreement between the Seller, who must first register on the Site, and HER-AGE S.R.L, headquartered at Via Aosta No. 13, 20155 Milan (MI), Italy, registered with the Business Register of Milan – Monza – Brianza – Lodi under the tax code and VAT number IT 03296311206 and REA No. MI-2015442 (“Her-Age”), as the owner and manager of the Site.

Definitions

• “Products”: Second-hand items such as clothing, shoes, bags, and accessories owned by Sellers and offered for sale through the Site.
• “Her-Age Services”: Sales promotion services provided through a service contract, including:
  • (a) Registering the Seller on the Site and creating their personal Seller account (the "Seller Account").
  • (b) Custodial storage of the Products.
  • (c) Authenticity, quality, and condition verification of the Products.
  • (d) Promotion of Products for sale via descriptions and photos on:
    • (i) The Site,
    • (ii) The Her-Age mobile app ("Her-Age Seller App"),
    • (iii) Optionally, in pop-up or Her-Age physical stores ("Her-Age Stores").
  • (e) Management of all activities related to the promotion and sale of Products to Site users ("Buyers").
  • (f) Packaging and shipping of sold Products to Buyers.
  • (g) Collecting payments from Buyers on behalf of the Seller for the final sale price.
  • (h) Paying the Seller’s Profit, net of service commissions.
  • (i) Returning unsold Products to the Seller within the agreed timelines.

1 APPLICATION AND ACCEPTANCE OF THE GTC

1.1 The provision of Her-Age Services to Sellers is subject to these GTC, the Privacy Policy, and the Cookie Policy available on the Site at:
Privacy Policy and Cookie Policy. By using Her-Age S.R.L's Services, the Seller agrees to carefully read and accept these GTC.

1.2 By accepting these GTC, the Seller declares they meet all requirements to use Her-Age Services.

1.3 Her-Age may unilaterally modify the GTC at any time at its sole discretion, by publishing the revised GTC on the Site and notifying the Seller via email with a 14-day notice. Modified GTC will not apply to Products accepted for sale prior to the changes. Sellers have the right to terminate these GTC per Section 17 following modifications. Continued use of the Her-Age Services after changes to the GTC constitutes acceptance of the revised terms.

1.4 The official language of these GTC is Italian. Translations in other languages are for convenience only. In case of conflict, the Italian version prevails and is available on the Site (select the Italian language option).

1.5 Sellers cannot modify these GTC.

1.6 These GTC become effective when the Seller’s Account is activated by Her-Age upon the Seller’s request and cease when the Account is permanently closed by Her-Age or the Seller.

2 HER-AGE S.R.L. SERVICE PROVISION

2.1 All HER-AGE Services available on the Site are provided by HER-AGE to the Seller.

2.2 To use the HER-AGE Services, the Seller must register as a member on the Site. HER-AGE reserves the right to limit or modify the terms and conditions of use of the HER-AGE Services.

2.3 At its sole discretion, HER-AGE may limit, deny, or create different levels of access and use of the HER-AGE Services (or part of the HER-AGE Services), without the Seller being able to object or claim compensation.

2.4 Some of the HER-AGE Services may be provided by third-party suppliers and third parties of HER-AGE.

3 SELLERS

3.1 As a condition for accessing and using the Site and HER-AGE Services, the Seller agrees to comply with all applicable laws and regulations as well as these Terms and Conditions (as amended and/or supplemented from time to time).

3.2 The Seller agrees to use the Site and HER-AGE Services exclusively to promote the sale of their Products through the Site, subject to acceptance of these Terms and Conditions for sales activities, and to compare Products through the Site, subject to acceptance of the general terms and conditions applicable to Buyers for purchasing activities through the Site. The Seller agrees not to copy, reproduce, download, republish, sell, distribute, or resell any of the HER-AGE Services or any information, text, images, graphics, videos, audio, directories, files, databases, lists, and/or content available on or through the Site. It is prohibited to use any material or content available on or through the Site (hereinafter, the "Site Content"). Using any Site Content for purposes other than those expressly permitted by these Terms and Conditions (i.e., promoting the sale of Products) is prohibited.

3.3 The Seller is required to review and accept HER-AGE's privacy policy and cookie policy, available on the Site at the following links:

3.4 The Seller agrees not to engage in any activity aimed at undermining the integrity of HER-AGE's computer system and/or any other Seller's system and/or gaining unauthorized access to such systems.

4 SELLER ACCOUNT

4.1 The Seller must be registered on the Site in order to access and use the Her-Age Services via their Seller Account. Her-Age reserves the right to refuse any registration request from a Seller for any reason.

4.2 Upon registration on the Site, Her-Age assigns an account, an ID, and a password to each registered Seller. Sellers are allowed to change their password by accessing their Seller Account and following the instructions provided there.

4.3 Each Seller can access their Seller Account through login using their personal password. The Seller is solely responsible for maintaining the confidentiality and security of the login and password, as well as for all activities that occur on their Seller Account. No Seller may share, assign, or allow third parties to use their Seller Account, login, or password. The Seller agrees to notify Her-Age promptly if they become aware of any unauthorized use of their login, password, or Seller Account, or any security breach related to their Seller Account.

5 VIOLATIONS

5.1 If the Seller violates any of the terms set forth in these T&Cs or Her-Age has reasonable grounds to believe the Seller may have violated any of these terms, Her-Age has the right to suspend or deactivate the Seller's Account or suspend access to Her-Age Services, without any liability for Her-Age. Her-Age also reserves the right to limit, deny, or exclude any current or future use of any of the Her-Age Services provided by Her-Age.

5.2 The Seller agrees to indemnify Her-Age, its affiliates, employees, agents, and representatives, and hold them harmless from any and all damages, losses, actions, and liabilities (including legal expenses) caused by the improper use of the Site and/or Her-Age Services and/or resulting from the violation of these T&Cs.

6 SELLER PRODUCTS

6.1 Her-Age will exclusively promote the sale of the Products owned by the Seller, which Her-Age has received or taken delivery of from the Seller based on a contract for the provision of services for promotion and sale under Article 1655 of the Italian Civil Code.

6.2 The Seller will always retain ownership and rights to each Product delivered to Her-Age, even after physical possession of the Product is transferred to Her-Age, until the Product becomes a Sold Product (as defined below). Her-Age undertakes to maintain a separate warehouse with products owned by Sellers and received from them for the promotion of sales. Notwithstanding the above, the private Seller (individual) agrees not to sell or attempt to sell any Product delivered to Her-Age for sale promotion through any means and/or channel, directly or indirectly, other than through the Site.

6.3 A Product is considered sold when:

(i) it is sold through Her-Age to a Buyer and is not returned to Her-Age within 72 hours of the Product’s receipt at the Buyer’s address (hereinafter, the "Return Period");

(ii) it is lost, stolen, damaged, or destroyed during the Approved Shipment (as defined below) while in the possession of Her-Age;

(hereinafter, the “Sold Product”).

6.4 After receiving or taking possession of the Product from the Seller, Her-Age will send a confirmation notice of the Product receipt to the email address provided by the Seller during registration on the Site.

6.5 Once received by Her-Age, the Products will be evaluated, inspected, and authenticated by Her-Age (hereinafter, the “Her-Age Validation”), possibly through third parties and suppliers of Her-Age. After the Her-Age Validation, the Seller will be able to access their Seller Account on the Site and find each Product that has been accepted for sale promotion (hereinafter, the “Accepted Product”) and its price determined by Her-Age for that Accepted Product.

6.6 The price of each Accepted Product will be determined at Her-Age's sole discretion, subject to the provisions of the following Article 11, and in any case, without prejudice to Price Management as defined and described in paragraph 11.2, letter b.

6.7 The Accepted Product will be processed and listed as available for sale on the Site and on other partner sites, the Her-Age App, any potential pop-up stores, and, at Her-Age's sole discretion, may be simultaneously displayed and promoted for sale in Her-Age stores.

6.8 Her-Age may use the Accepted Products for any photoshoot or pop-up event (including promoting the sale of Accepted Products during such an event) organized by Her-Age anywhere in the world.

7 LOSS OR DAMAGE OF PRODUCTS DURING SHIPPING OR STORAGE

7.1 Her-Age will accept Products from the Seller solely to provide Her-Age’s services and promote their sale. The Seller will be responsible for any risk of loss or damage to the Product until Her-Age physically takes possession of the Product in question.

7.2 However, if the Seller uses the approved and pre-paid shipping label that provides a shipping method approved by Her-Age, Her-Age assumes the risk of loss or damage to the Products at the time of shipment (hereinafter, the “Approved Shipping”):

7.3 If a Product is lost, damaged, or stolen during Approved Shipping or while in Her-Age’s possession, the Product will be considered a Sold Product, and Her-Age is obligated to pay the Seller’s Profit (as defined below). The Seller’s Profit will be calculated, depending on the case, (a) based on the estimated sale price at the time of the loss or damage if such loss or damage occurs during Approved Shipping; (b) based on the Initial Sale Price (as defined below) if the loss or damage occurs after Her-Age’s Validation; or (c) based on the Final Sale Price (as defined below) if the loss or damage occurs after the sale.

7.4 This remedy will constitute the sole and exclusive remedy and form of recourse against Her-Age for lost, damaged, or stolen Products and will replace any other remedy otherwise available under law or equity.

8. CONDITIONS FOR ACCEPTANCE OF PRODUCTS

8.1 After receiving or taking possession of the Product from the Seller, Her-Age will evaluate, inspect, and authenticate each item to determine, at its sole discretion, the authenticity, quality, and value of the Product in question. The condition of the item will affect Her-Age's evaluation.

8.2 Her-Age will accept the Product for promotion and sale only if:

(i) the Seller's representations and warranties contained in Section 14 are true and correct;

(ii) Her-Age determines at its sole discretion that (a) the Product is in excellent or very good condition (i.e., not deteriorated due to excessive wear and/or use); (b) the Product is clean, washed, and odor-free; (c) if a Product needs minor touch-ups to make it suitable for resale and avoid rejection and return to the Seller, Her-Age may take such actions as it deems appropriate at its sole discretion; (d) if the Product is seasonal, it is accepted only during its designated season;

(iii) the Product is included in Her-Age's current brand list (hereinafter, the "Brand List") at the time of evaluation; and

(iv) Her-Age determines at its sole discretion that the Product is authentic.

Notwithstanding Her-Age’s evaluation and inspection of the Product’s authenticity, the Seller will remain solely responsible for the authenticity of the Product to Buyers and any third parties, and the Seller will remain the sole owner of the Product, declaring that it is their exclusive property and that it is not stolen or a result of handling stolen goods.

8.3 Products that do not meet all of the above criteria will not be accepted by Her-Age and will either be:

(i) returned to the Seller, at the Seller's expense, to the same address where Her-Age took possession of the Product or the address provided by the Seller during registration on the Site; or

(ii) with the written consent of the Seller, donated to a charity chosen by Her-Age.

9. INABILITY TO AUTHENTICATE PRODUCTS AND COUNTERFEIT PRODUCTS

9.1 The Seller is solely responsible for ensuring the authenticity of each Product provided to Her-Age for promotion and sale. If Her-Age is unable to verify the authenticity of a Product, Her-Age may, at its sole discretion, refuse the unauthenticated Product.

9.2 If Her-Age at any time determines that a Product is counterfeit, Her-Age will notify the Seller and give them the opportunity to provide proof of purchase or other acceptable evidence of the Product's authenticity.

9.3 If Her-Age is unable to verify the authenticity of a Product, it will arrange for its return to the Seller, at the Seller’s expense. If the Product is not retrieved by the Seller, at the Seller's expense, within 45 days of the notification, the Product will be destroyed without the Seller having any claim to its return or compensation.

9.4 If Her-Age definitively determines that the Product is counterfeit, it will immediately inform the relevant authorities and send the Product to them.

9.5 The Seller acknowledges, understands, and confirms that they are aware of all laws and regulations regarding counterfeit or stolen products, or products involved in handling stolen goods. The Seller also understands and agrees that Her-Age collaborates with any authorities and law enforcement to enforce such laws and regulations.

10. DURATION OF SALES PROMOTION SERVICE AND PRODUCT RETURNS

10.1 The duration of the sales promotion service through a service contract under Article 1655 of the Civil Code for each Product begins on the date of Her-Age’s Validation and ends 365 days later (hereinafter, the "Her-Age Service Duration"). The Seller may request, in writing, an extension of the Service Duration, and Her-Age may, at its sole discretion, refuse to accept such an extension.

10.2 During the Her-Age Service Duration, the Seller may request, in writing, that Her-Age return the Product (hereinafter, the “Product Return Request”), as long as the Product is still available.

10.3 Upon receiving a Product Return Request from the Seller, Her-Age will make commercially reasonable efforts to remove the Product from the Site, the Her-Age App, any Her-Age Store, and any Her-Age pop-up store.

10.4 If the Seller submits a Product Return Request within 120 days of Her-Age’s Validation, the shipping costs will be borne by the Seller, and Her-Age will deduct them from the Seller’s pending Profits (as defined below). If the Seller does not have sufficient pending Profits to cover the shipping costs, Her-Age has no obligation to return the Product to the Seller unless and until the Seller pays the return shipping costs to Her-Age before shipment. Additionally, Her-Age will charge the Seller a fee of €30 for Italy and €50 for Europe for each Product, which will reflect the initial costs incurred by Her-Age for storage, cataloging, and product photography during preparation for sale.

10.5 If the Seller submits the Product Return Request within 90 days of Her-Age’s Validation, the Product will be returned at Her-Age’s expense, and no fee will be charged to the Seller up to a limit of €30. For any fees exceeding this amount, the difference will be borne by the Seller.

10.6 If Products are returned to the Seller, the Seller will be responsible for any customs fees.

10.7 If a Product remains unsold at the end of Her-Age's Service Duration, Her-Age will notify the Seller, and at the Seller’s option and at Her-Age’s expense up to a limit of €30:

(i) return the Product to the Seller; or

(ii) donate the Product to a charity selected by Her-Age.

10.8 If the Seller does not respond to Her-Age’s notice within fourteen (14) days of being notified, Her-Age may freely dispose of the unsold Product, either donating it to a charity of its choice or destroying the Product.

10.9 Products returned by Her-Age accounts must always have the product integrity tag affixed by Her-Age, otherwise, the Product will not be accepted for return if it appears tampered with, torn, or otherwise compromised in appearance.

11. DETERMINATION OF PRICE AND MANAGEMENT

11.1 Under these General Terms and Conditions (GTC), Her-Age will display the Products on the Website, on partner websites, on the Her-Age App, and in pop-up stores for promotional sale. At Her-Age's sole discretion, the Products may also be simultaneously displayed and sold in any Her-Age Stores. Her-Age will make every commercially reasonable effort to promote the sale of the Products.

The Seller acknowledges and agrees that:

• Her-Age, at its sole discretion, will determine the initial selling price of each Product (hereinafter, the "Initial Selling Price") based on its assessment of the Product (taking into account, among other factors, the brand, the type of Product, the production year, the color, and of course the condition), along with its determination of the current market price for that Product.

• The Seller may request price management before the product is promoted for sale (hereinafter, "Price Management"). In such cases, within defined time frames determined from time to time by Her-Age, the Seller will have the opportunity to ask Her-Age to modify the Initial Selling Price, as determined by Her-Age, according to paragraph 11.2 (a), by increasing the Initial Selling Price up to a percentage within a range set by Her-Age. It is understood that this range will always be between a minimum of 10% and a maximum of 20%. If for any reason the Seller is not satisfied with the initial selling price, they may request the return of their items at no cost.

• Her-Age may apply price revisions during the duration of the promotional sales service, at its sole discretion and without notifying the Seller, in order to efficiently market and sell the Products, except when the Seller and Her-Age have agreed in writing to sell the Product at a specific price. The Seller's profit percentage will always be calculated based on the final sale price. As a matter of policy, Her-Age prefers not to highlight price discounts.

12. SELLER PROFITS AND PAYMENTS

For the purposes of this document,

"Site Credit" refers to an account in the Seller’s name on which any amount due to the Seller for their Sold Products can be credited. The Seller may use this Site Credit exclusively to make purchases on the Website.

"Price (exclusing VAT)" refers to the price at which the Product becomes a Sold Product, after the application of any revisions and applicable promotions, excluding shipping costs.

"Seller Percentage" refers to the rate used to calculate the profits due to the Seller by Her-Age for the services provided, including the collection of the price on behalf of the Seller, for each Product that becomes a Sold Product, as provided and indicated in the table below (hereinafter, "Seller Profits"):

• 60% for a price between €150 and €1,000 (excluding VAT)
• 65%  for a price between €1,000 and €3,000 (excluding VAT)
• 70%  for a price between €3,000 and €5,000 (excluding VAT)
• 75%  for a price above €5,000 (excluding VAT)

The service fees are not inclusive inclusive of VAT where applicable by law.

12.1 The percentages due to the Seller for the sale of Products are calculated according to the rates outlined in the definition of "Seller Percentage" above. The Seller's profit is represented by the final selling price minus Her-Age's service fees.

Notwithstanding the above, Her-Age may, from time to time, at its sole discretion, make changes to its percentage structure and Seller Percentages, which will become valid and effective from the 15th day after the Seller receives the notification sent by Her-Age.

12.2 Calculation of Seller Profits: Her-Age will remit Seller Profits for each Sold Product. The Seller Profit will be equal to the Final Selling Price of the Product multiplied by the applicable Seller Percentage, minus Her-Age's service fees. The Seller Profit will be the sole compensation the Seller will receive under these GTC.

12.3 Payments:

a) Her-Age will pay Seller Profits (i) on the 15th day of each month for sales made between the 1st and 15th of the previous month; and (ii) on the 31st day of each month for sales made between the 16th and 31st (or, as applicable, the last day) of the previous month. For the purposes of this provision, the sale of a Product is considered to have occurred when the corresponding sales order for that Product has been executed by the Buyer. b) At the Seller's choice, payments will be made to the Seller (i) directly into their Site Credit; or (ii) via bank transfer or PayPal. The Seller may choose any other payment method at any time, provided that the new payment method will apply to all profits from sales that occur after the selection of the new payment method.

12.4 Disputes: In the event of disputes between the Seller and Her-Age, Her-Age will have no obligation to pay any profits or other amounts due to the Seller, including, for example, amounts unrelated to the dispute, until the dispute is resolved. Her-Age may withhold any Seller Profits due (including those for a Sold Product not subject to dispute) in full or partial satisfaction of any amount owed by the Seller to Her-Age.

13. DISCLAIMER OF WARRANTIES; LIMITATIONS OF LIABILITY

13.1 The Seller expressly agrees and acknowledges that:

The use of Her-Age's Services is at the Seller's sole risk. Her-Age’s service and the Services of Her-Age are provided "as is" and "as available." Her-Age expressly disclaims any type of warranty, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

13.2 Her-Age does not guarantee that:

(a) The Her-Age Services will meet the Seller's needs; or

(b) The Her-Age Services will be uninterrupted, timely, secure, or error-free. No communication or information, whether oral or written, obtained by the Seller through or from the Her-Age Services or the Website will create any warranty not expressly stated in these GTC.

13.3 Her-Age and its affiliates, employees, agents, partners, suppliers, third parties, and licensors shall not be liable to the Seller for any direct, indirect, incidental, special, consequential, or exemplary damages or for damages arising from loss of profit, goodwill, use, data, or any other intangible loss (even if Her-Age was advised of the possibility of such damages) resulting from:

(a) The use or inability to use the Her-Age Services or the Website;

(b) Unauthorized access to or alteration of the Seller's communications or data;

(c) Activities contemplated in these GTC; or

(d) Any other issue concerning the Her-Age Services or these GTC.

13.4 In no event shall Her-Age's liability under these GTC exceed the amount actually received from the Seller for the promotion of the sale of the Seller's Products.

13.5 The above exclusions and limitations are essential to the foundation of Her-Age's business, and Her-Age would not enter into these GTC without such exclusions and limitations. Please consult professionals to understand the content of these GTC and to assess any specific opinions, communications, products, services, or other content.

14 SELLER RESPONSIBILITIES

14.1 The Seller declares and guarantees that (a) they have full authority and freedom to accept these T&Cs, (b) they use the Site for personal purposes, and (c) all personal data (including name, surname, and address) provided during registration on the Site is true, correct, and up to date.

14.2 The Seller declares and guarantees that the information and documents provided by the Seller during the registration process or upon request by Her-Age are correct, true, and up to date. The Seller also agrees to keep the information on the Seller Account up to date at all times.

14.3 By registering on the Site, the Seller accepts, in accordance with Her-Age's privacy policy, that all information provided to Her-Age will be processed and handled in compliance with the privacy policy and applicable laws.

14.4 The Seller declares and guarantees that all information they provide to Her-Age:

a) is true, accurate, and complete; b) is not false, misleading, or deceptive; c) does not contain any links to other websites whose content might violate these T&Cs.

14.5 The Seller further declares and guarantees that:

a) they are the sole and exclusive owner of the Products, hold valid and transferable title to each Product, and have the right to sell such Products; b) no Product is encumbered by a lien or other legal restrictions; c) the Products do not include counterfeit goods; d) the Products do not infringe, violate, or misappropriate the intellectual property or other proprietary rights of third parties, any state or federal law, or any administrative regulation; e) they do not use Her-Age’s Services or the Site for fraudulent and/or illegal purposes; f) they do not use Her-Age’s Services on behalf of third parties, unless expressly authorized in writing by Her-Age; g) they do not engage in spamming or phishing activities; h) they do not engage in any activities that could facilitate the spread of computer viruses or other destructive tools and codes that may damage, interfere with, intercept, disable, or destroy any software, hardware, data, or personal information; i) they do not engage in activities that undermine the integrity of the data or systems used by Her-Age and/or any other Seller or Buyer, or that aim to gain unauthorized access to such data or systems; j) they will not engage in, or attempt to engage in, transactions with Buyers outside of the Site.

14.6 The Seller agrees to indemnify and hold Her-Age harmless from all damages, causes, disputes, decisions, losses, expenses, and costs, including, but not limited to, legal fees, suffered or incurred by Her-Age as a result of or in connection with the Seller's violation of these T&Cs and/or the untruthfulness and/or inaccuracy of the statements and warranties provided by each Seller upon accepting these T&Cs during registration on the Site, as well as any claims arising from the posting and/or promotion of the Product by Her-Age, including, but not limited to, civil or criminal actions related to the authenticity, compliance, or ownership of the Product, the legality of the sales, or violations of copyright or trademarks.

15 FORCE MAJEURE

15.1 Her-Age shall not be held responsible for any delay, error, or interruption regarding the content or Services provided on the Site that result directly or indirectly from natural events or events beyond Her-Age's control, including, but not limited to, internet issues, telecommunications failures, or other equipment malfunctions, power outages, strikes, labor disputes, civil unrest, riots, wars, government actions, national or international court orders, or failure to comply with such orders by third parties.

16 INTELLECTUAL PROPERTY RIGHTS

16.1 Her-Age is the sole owner of all rights and content on the Site and the Services provided on the Site. The Site and Her-Age’s Services are considered trade secrets and other intellectual property rights protected globally by copyright and applicable laws. All ownership and intellectual property rights to the Site and Her-Age Services are and will remain the exclusive property of Her-Age.

16.2 The name "Her-Age," the logo, the pictogram, all related icons and logos, and trademarks are owned by Her-Age. Any unauthorized copying, modification, use, or publication of such trademarks and logos is strictly prohibited and subject to compensation for damages.

16.3 The "Her-Age innovative business model and proprietary format" is protected by copyright and has been registered with SIAE under the OLAF Section.

17 SPECIAL CONDITIONS

17.1 Authentication. Her-Age is expressly authorized to outsource third-party services or handle product authentication internally. Currently, the service is provided by the certifier Graham Wetzbarger  in New York (Certifier), using high-resolution image analysis. If the product is deemed authentic, the Seller may receive a certificate of authenticity from Her-Age along with a from the Certifier, via the Vaultik App. The certificate is stored on the blockchain via the App.

 

18 WITHDRAWAL

18.1 According to Article 49, paragraph 1, letter (h) of the Consumer Code, the Seller has the right to withdraw from these T&Cs without providing any reason within 14 days of signing these T&Cs (the "Withdrawal Period").

To exercise the right of withdrawal, the Seller must notify Her-Age in writing (e.g., by both legal and company email) of their decision to withdraw from these T&Cs to Her-Age S.R.L., Via Aosta n. 13, 20155 Milan (MI), email address: her-age@legalmail.it and customerservice@her-age.com 

To respect the Withdrawal Period, the Seller must send the withdrawal notice before the expiration of the period.

18.2 After exercising the withdrawal, Her-Age will suspend all services and return any Products received from the Seller, refunding any payments made by the Seller, minus a penalty of 1% of the product's sale value, with a minimum of €100. This will be done no later than 14 days from when Her-Age becomes aware of the withdrawal. Refunds will be made using the same payment method used by the Seller, unless otherwise agreed. The Seller will not incur any costs due to these refunds.

18.3 As permitted by applicable laws, sending any Product to Her-Age or Her-Age accepting any Product before the end of the Withdrawal Period will be considered as an express waiver by the Seller to exercise the right of withdrawal for the Product already received by Her-Age. Therefore, such Product will remain subject to these T&Cs.

18.4 Her-Age has the right to withdraw from these T&Cs without notice and without providing any reason. To exercise the right of withdrawal, Her-Age will notify the Seller in writing (e.g., via email) to the email address provided during the registration process. In such cases, the provisions of paragraph 17.2 will apply mutatis mutandis.

19 COMMUNICATIONS

19.1 All legal communications or requests from or on the Site or through Her-Age’s Services can be made in writing and sent to Her-Age by email  (unless specified otherwise by Her-Age) at: her-age@legalmail.it,  customerservice@her-age.com

19.2 Her-Age will make all communications to the Seller to the email or physical address provided by the Seller during registration. The Seller is solely responsible for keeping this information updated.

 

20 MISCELLANEOUS

20.1 Her-Age and the Seller are and will always remain independent contractors; there is no joint venture, employment, or franchising relationship between them.

20.2 If one or more provisions of these General Terms and Conditions (GTC) are found to be null, invalid, or unenforceable, Her-Age and the Seller will remain bound by all other provisions of these GTC. In such cases, they will replace the invalid or unenforceable provisions with valid and binding provisions that, to the maximum extent possible, have an effect similar to the invalid or unenforceable ones, taking into account the content and purpose of these GTC.

20.3 The tolerance of one party towards actions taken by the other party that violate these GTC does not imply a waiver of the rights derived from the violated provisions, nor the right to demand the fulfillment of all the terms and conditions set out in these GTC.

20.4 The Seller is not authorized to assign these GTC or any interest the Seller may have in them without prior written consent from Her-Age. Any prohibited assignment will be considered void or ineffective with respect to Her-Age.

20.5 The section titles used in these GTC are for convenience only and may not be used to interpret the meaning or intent of these GTC.

21 APPLICABLE LAW

21.1 These GTC are governed by and must be interpreted in accordance with Italian law, particularly in relation to service contracts under Article 1655 of the Civil Code, and specifically (but not limited to) in accordance with the Consumer Code (Legislative Decree No. 206 of September 6, 2005, hereinafter "Consumer Code") and Legislative Decree No. 70 of April 9, 2003, which governs e-commerce.

22 JURISDICTION AND DISPUTE RESOLUTION

22.1 Any dispute regarding the interpretation, validity, execution, or any matter arising from these GTC and/or activities related to the use of the Site and/or Her-Age Services will be subject to the exclusive jurisdiction of the Court of Milan.

22.2 Her-Age suggests that the Seller notify Her-Age's legal department of any disputes in advance by contacting diliborio@twtcert.it.

22.3 The Seller may initiate an out-of-court dispute resolution procedure in accordance with the requirements of Articles 141 et seq. of the Consumer Code. If the Seller initiates this procedure, Her-Age guarantees its participation in an amicable conciliation attempt that the user can promote before Risolvi Online, an independent and institutional service provided by the Arbitration Chamber of the Milan Chamber of Commerce.

22.4 The Seller also has the right to use the online dispute resolution procedure available at http://ec.europa.eu/consumers/odr/.

Pursuant to Articles 1341 and 1342 of the Italian Civil Code, where applicable, the Seller declares that they have read and expressly and specifically approved the following articles:

Se apportiamo modifiche o annulliamo un ordine, potremmo tentare di avvisarti contattandoti via email e/o all'indirizzo di fatturazione/numero di telefono fornito al momento dell'ordine. Ci riserviamo il diritto di limitare o proibire ordini che, a nostro insindacabile giudizio, sembrano essere effettuati da rivenditori, distributori o intermediari.

Accetti di fornire informazioni corrette, complete e accurate per tutti gli acquisti effettuati nel nostro negozio. Il Servizio e tutti i prodotti e Servizi forniti tramite il Servizio sono (salvo quanto espressamente indicato da noi) forniti "così come sono" e "come disponibili" per il tuo utilizzo, senza alcuna rappresentazione, garanzia o condizione di alcun tipo, espressa o implicita, incluse tutte le garanzie implicite di commerciabilità, qualità commerciabile, idoneità per uno scopo particolare, durabilità, titolo e non violazione.
In nessun caso her-age, i nostri direttori, funzionari, dipendenti, affiliati, agenti, appaltatori, stagisti, fornitori, fornitori di servizi o licenziatari saranno responsabili per danni, perdite, reclami o danni diretti, indiretti, incidentali, punitivi, speciali o consequenziali di qualsiasi tipo, inclusi, senza limitazioni, perdita di profitti, perdite di ricavi, risparmi persi, perdita di dati, costi di sostituzione o danni simili, siano basati su contratto, illecito (inclusa negligenza), responsabilità oggettiva o altro, derivanti dall'utilizzo di uno qualsiasi dei Servizi o di qualsiasi prodotto acquistato utilizzando il Servizio, o per qualsiasi altro reclamo relativo in qualsiasi modo all'uso del Servizio o di qualsiasi prodotto, inclusi, ma non limitati a, errori o omissioni in qualsiasi contenuto, o qualsiasi perdita o danno di qualsiasi tipo subito a causa dell'uso del Servizio o di qualsiasi contenuto (o prodotto) pubblicato, trasmesso o reso altrimenti disponibile tramite il Servizio, anche se avvisati della possibilità di tali danni. Poiché alcuni stati o giurisdizioni non consentono l'esclusione o la limitazione della responsabilità per danni consequenziali o incidentali, in tali stati o giurisdizioni, la nostra responsabilità sarà limitata alla massima estensione consentita dalla legge.

Accetti di indennizzare, difendere e tenere indenne her-age e la nostra società madre, sussidiarie, affiliate, partner, funzionari, direttori, agenti, appaltatori, licenziatari, fornitori di servizi, subappaltatori, fornitori, stagisti e dipendenti da qualsiasi reclamo o richiesta, incluse le spese legali ragionevoli, fatte da terzi a causa della tua violazione dei Termini di Servizio o dei documenti che essi incorporano tramite riferimento, o per la violazione di qualsiasi legge o dei diritti di terzi.

SEZIONE 15 - SEPARABILITÀ
Nel caso in cui una qualsiasi disposizione di questi Termini di Servizio venga ritenuta illegale, nulla o inapplicabile, tale disposizione sarà comunque applicabile nella misura massima consentita dalla legge applicabile, e la parte inapplicabile sarà considerata separata da questi Termini di Servizio, e tale determinazione non influirà sulla validità e sull'applicabilità di qualsiasi altra disposizione rimanente.

SEZIONE 16 - TERMINAZIONE
Gli obblighi e le responsabilità delle parti maturate prima della data di cessazione sopravvivranno alla cessazione di questo accordo per tutti gli scopi.
Questi Termini di Servizio sono efficaci fino alla cessazione da parte tua o nostra. Puoi terminare questi Termini di Servizio in qualsiasi momento, notificandoci che non desideri più utilizzare i nostri Servizi, o quando smetti di utilizzare il nostro sito.
Se, a nostra esclusiva discrezione, riteniamo che tu abbia violato o sospettiamo che tu abbia violato uno qualsiasi dei termini o delle disposizioni di questi Termini di Servizio, possiamo anche terminare questo accordo in qualsiasi momento senza preavviso e sarai responsabile per tutte le somme dovute fino alla data di cessazione; e/o, di conseguenza, possiamo negarti l'accesso ai nostri Servizi (o a qualsiasi parte di essi).

SEZIONE 17 - INTERO ACCORDO
Il fatto che non esercitiamo o non facciamo rispettare un diritto o una disposizione di questi Termini di Servizio non costituisce una rinuncia a tale diritto o disposizione.
Questi Termini di Servizio e qualsiasi politica o regola operativa pubblicata da noi su questo sito o in relazione al Servizio costituiscono l'intero accordo e la comprensione tra te e noi e regolano l'utilizzo del Servizio, sostituendo qualsiasi accordo, comunicazione o proposta precedente o contemporanea, sia orale che scritta, tra te e noi (inclusi, ma non limitati a, qualsiasi versione precedente dei Termini di Servizio).
Eventuali ambiguità nell'interpretazione di questi Termini di Servizio non saranno interpretate contro la parte che li ha redatti.

CONDIZIONI PER VENDITORI (ITALIANO)

Il Venditore è un consumatore privato o una azienda (cioè una persona fisica o una ditta/impresa) che utilizza i Servizi Her-Age (come di seguito definiti) per uno scopo che può essere considerato estraneo alla sua attività o professione per la persona fisica in quanto condotto in via occasionale e non professionale che agisce, dunque, con il proprio codice fiscale o relativi alla sua attività aziendale per l’azienda-ditta che conduce attività professionale e stabile con partita Iva (di seguito, il “Venditore”).

Il Venditore dovrà prendere attenta visione ed accettare le seguenti condizioni generali di contratto (di seguito, le “CGC”) per vendere personalmente i suoi Prodotti (come di seguito definiti) sulla piattaforma Her-Age, che sono stati spediti dal Venditore a Her-Age o presi in consegna da Her-Age in base ad un contratto di servizi per la promozione alle vendite mediante un mandato d’appalto delle prestazioni di servizi ex art. 1655 c.c., che autorizza Her-Age alla promozione delle vendite con incasso del prezzo in nome e per conto del Venditore ed alla successiva rimessa del profitto a favore di quest’ultimo (Profitto Venditore), ovvero prezzo di vendita al netto delle commissioni per i servizi prestati.

I Prodotti, infatti, rimangono sempre di proprietà del Venditore sino alla vendita, anche se dislocati presso Her-Age la quale svolge la sola funzione di prestatore di servizi per la promozione alla vendita dei Prodotti del Venditore mediante un appalto delle prestazioni di servizi art. 1655 c.c., a titolo oneroso, che contempla l’incasso del prezzo in nome e per conto del Venditore e la rimessa a favore di quest’ultimo del profitto della vendita inteso quale prezzo di vendita al netto delle commissioni per i servizi Her-Age.

Le presenti CGC descrivono i termini e le condizioni applicabili all’accesso ai servizi della piattaforma Her-Age her-age.com (di seguito, il “Sito”) per l’assistenza e la promozione alla vendita mediante un appalto delle prestazioni di servizi ex art. 1655 c.c., dei Prodotti attraverso il Sito.

Nelle vendite il Venditore persona fisica che agisce con codice fiscale non in via professionale ed occasionale si impegna ed obbliga ad emettere una ricevuta-quietanza a favore del Compratore, laddove esplicitamente richiesta da quest’ultimo, mentre il Venditore professionale ditta-azienda munito di partita Iva si impegna ed obbliga ad emettere sempre regolare fattura a favore del Compratore, al di là della richiesta di quest’ultimo. 

Il presente documento è un accordo giuridicamente vincolante tra il Venditore, che si sarà previamente iscritto al Sito, e la società HER-AGE Srl, con sede legale in Via Aosta n. 13, 20155 Milano (MI), Italia, numero di iscrizione al Registro delle Imprese di Milano – Monza – Brianza – Lodi codice fiscale e partita Iva IT 03296311206 e REA n. MI -2015442 (“Her-Age”), in qualità di titolare e gestore del Sito.

Ai fini del presente documento,

“Prodotti” indica oggetti di seconda mano quali vestiario, scarpe, borse ed accessori di proprietà dei Venditori e promossi in vendita attraverso il Sito.

“Servizi Her-Age” relativi alla promozione delle vendite con appalto delle prestazioni di servizi che includono (a) la registrazione del Venditore sul Sito e la creazione di una pagina personale del Venditore sul Sito (di seguito, l’“Account Venditore”); (b) il deposito in custodia dei Prodotti; (c) la verifica dell’autenticità, della qualità e delle condizioni dei Prodotti; (d) la promozione in vendita dei Prodotti, attraverso la creazione e l’inserzione di una descrizione dei Prodotti corredata da foto, (i) sul Sito, (ii) sull’applicazione per smartphone di Her-Age (di seguito, l’“App Her-Age”), (iii) ad esclusiva discrezione di Her-Age, la promozione della vendita di prodotti in eventuali negozi pop-up ed in negozi Her-Age (di seguito, i “Negozi Her-Age”); (e) la gestione di tutte le attività riguardanti la promozione della vendita dei Prodotti agli utenti del Sito (di seguito, i “Compratori”); (f) in caso di buon fine della vendita di un qualsiasi Prodotto, il servizio di confezionamento e la spedizione a ciascun Compratore; (g) l’incasso in nome e per conto del Venditore dell’importo pagato da ciascun Compratore, corrispondente al Prezzo Finale di Vendita (come di seguito definito); (h) il pagamento del Profitto Venditore (come di seguito definito) relativo a ciascun Prodotto Venduto (come di seguito definito) al netto delle commissioni per i servizi Her-Age, e (i) la restituzione al relativo Venditore di qualsiasi Prodotto rimasto invenduto entro le tempistiche concordate.

 

1 APPLICAZIONE ED ACCETTAZIONE DELLE CGC

1.1 La prestazione dei Servizi Her-Age in favore dei Venditori è soggetta ai termini ed alle condizioni contenuti in questo documento nonché alla privacy policy ed alla cookie policy pubblicate sul Sito ed accessibili alle pagine:  https://her-age.com/pages/privacy-policy e https://her-age.com/pages/cookie-policy .Pertanto, al fine di utilizzare i Servizi Her-Age, il Venditore è tenuto a leggere attentamente e ad accettare queste CGC.

1.2 Il Venditore, con l’accettazione di queste CGC, dichiara di essere in possesso di tutti i requisiti necessari per utilizzare i Servizi Her-Age.

1.3 Il Venditore prende atto ed accetta che Her-Age potrà modificare, in ogni momento, unilateralmente ed a sua esclusiva discrezione le CGC pubblicando la versione modificata delle CGC sul Sito ed inviando con 14 giorni di preavviso apposita comunicazione a mezzo e-mail al Venditore. Le CGC modificate non trovano applicazione rispetto ai Prodotti Accettati (come di seguito definiti) prima della data in cui le modifiche alle CGC sono diventate efficaci. Resta inteso che, in seguito a modifica, il Venditore avrà il diritto di recedere da queste CGC, in conformità al successivo articolo 17. L’utilizzo dei Servizi Her-Age e del Sito da parte del Venditore successivamente ad una modifica delle CGC verrà considerata quale accettazione da parte del Venditore delle modifiche apportate da Her-Age alle CGC.

1.4 La lingua ufficiale di queste CGC è l’italiano. Qualsiasi versione redatta in altra lingua ha natura meramente informativa e costituisce una traduzione di cortesia. Pertanto, in caso di conflitto relativo all’interpretazione di queste CGC, la lingua prevalente e regolatrice sarà la lingua italiana. La versione italiana è disponibile sul Sito (selezionando la lingua italiana).

1.5 I Venditori non apporteranno, e non sono autorizzati ad apportare, nessun cambiamento a queste CGC.

1.6 Queste CGC avranno effetti tra le parti nel momento in cui sarà attivato l’Account Venditore da Her-Age su richiesta del Venditore e cesseranno di avere effetti alla chiusura definitiva di tale Account Venditore da parte di Her-Age o del Venditore.

 

2 PRESTAZIONE DEI SERVIZI HER-AGE

2.1 Tutti i Servizi HER-AGE disponibili sul Sito sono prestati da HER-AGE al Venditore.

2.2 Per poter usufruire dei Servizi Her-Age, il Venditore deve registrarsi come membro sul Sito. Her-Age si riserva il diritto di limitare o modificare i termini e le condizioni d’uso dei Servizi Her-Age.

2.3 A sua esclusiva discrezione, Her-Age potrà limitare, negare o creare diversi livelli di accesso e di utilizzo dei Servizi Her-Age (o di una parte dei Servizi Her-Age), senza che il Venditore possa opporsi o rivendicare indennizzi.

2.4 E’ possibile che alcuni dei Servizi Her-Age siano forniti da terzi fornitori e terze parti di Her-Age.

 

3 VENDITORI

3.1 Come condizione per l’accesso e l’utilizzo del Sito e dei Servizi Her-Age, il Venditore accetta e si obbliga a rispettare tutte le leggi e i regolamenti applicabili nonché le presenti CGC (così come di volta in volta modificate e/o integrate).

3.2 Il Venditore accetta di utilizzare il Sito ed i Servizi Her-Age esclusivamente per promuovere la vendita dei propri Prodotti attraverso il Sito, subordinatamente all’accettazione delle presenti CGC per le attività di vendita, e per comparare Prodotti tramite il Sito, subordinatamente all’accettazione delle condizioni generali di contratto applicabili ai Compratori per le attività di acquisto tramite il Sito. Il Venditore si obbliga a non copiare, riprodurre, scaricare, ripubblicare, vendere, distribuire o rivendere qualsiasi dei Servizi Her-Age o qualsiasi informazione, testo, immagine, grafica, video, audio, directory, file, database, elenco e/o contenuto disponibile sul o attraverso il Sito. È vietato utilizzare qualsiasi materiale o contenuto disponibile sul o attraverso il Sito (di seguito, il “Contenuto del Sito”). È vietato l’utilizzo di qualsiasi Contenuto del Sito per scopi diversi da quelli espressamente consentiti dalle presenti CGC (i.e. la promozione per la vendita dei Prodotti).

3.3 Il Venditore è tenuto a prendere visione e ad accettare la privacy policy e la cookie policy di Her-Age, disponibili sul Sito al seguente link: https://her-age.com/pages/privacy-policy e https://her-age.com/pages/cookie-policy

3.4 Il Venditore si obbliga a non intraprendere alcuna attività volta a minare l’integrità del sistema informatico di Her-Age e/o di ogni altro Venditore e/o ottenere l’accesso non autorizzato a tali sistemi.

 

4 ACCOUNT VENDITORE

4.1 Il Venditore deve essere registrato al Sito per poter accedere ed utilizzare i Servizi Her-Age tramite il proprio Account Venditore. Her-Age si riserva il diritto di rifiutare per qualsiasi ragione la richiesta di registrazione proveniente da un Venditore.

4.2 Previa registrazione al Sito, Her-Age assegna un account, un ID e una password a ciascun Venditore registrato. Ai Venditori è consentito modificare la propria password accedendo al proprio Account Venditore e seguendo le istruzioni ivi fornite.

4.3 Ogni Venditore può accedere all’Account Venditore tramite il login ed utilizzando la sua password personale. Il Venditore è l’unico responsabile del mantenimento della segretezza e della sicurezza del login e della password nonché di tutte le attività che avvengono sul proprio Account Venditore. Nessun Venditore può condividere, assegnare o consentire l’utilizzo del proprio Account Venditore, del login o della password a terze parti. Il Venditore si obbliga ad avvisare tempestivamente Her-Age nel caso in cui venisse a conoscenza di qualsiasi utilizzo non autorizzato del proprio login, password o Account Venditore o di qualsiasi violazione della sicurezza del proprio Account Venditore. 

 

5 VIOLAZIONI

5.1 Se il Venditore viola una delle CGC qui previste o Her-Age ha fondati motivi per ritenere che il Venditore possa aver violato una delle CGC qui previste, Her-Age ha il diritto di sospendere o disattivare l’Account Venditore o di sospendere la fruibilità dei Servizi Her-Age, senza che ciò possa comportare alcuna responsabilità in capo a Her-Age. Her-Age ha anche il diritto di limitare, negare o escludere qualsiasi utilizzo attuale o futuro di uno qualsiasi dei Servizi Her-Age forniti da Her-Age.

5.2 Il Venditore si obbliga ad indennizzare Her-Age, i suoi affiliati, dipendenti, agenti e rappresentanti e di tenerli manlevati da ogni e qualsiasi danno, perdita, attività e passività (incluse le spese legali) causati dall’utilizzo improprio del Sito e/o dei Servizi Her-Age e/o derivante dalla violazione delle CGC.

 

6 PRODOTTI DEL VENDITORE

6.1 Her-Age promuoverà, in via esclusiva, la vendita dei Prodotti di proprietà del Venditore e che avrà ricevuto o che avrà preso in consegna da quest’ultimo sulla base di un contratto di appalto delle prestazioni di servizi per la promozione e vendita ex art. 1655 c.c.

6.2 Il Venditore manterrà sempre la proprietà ed i diritti su ogni Prodotto consegnato a Her-Age, anche dopo il trasferimento a Her-Age del possesso fisico di tale Prodotto, fino al momento in cui il Prodotto diviene un Prodotto Venduto (come di seguito definito). Her-Age si impegna a tenere un magazzino separato con i prodotti di proprietà dei Venditori e ricevuti da questi ultimi per promozionare le vendite. Fermo restando quanto sopra, il Venditore privato (persona fisica) si obbliga a non vendere o tentare di vendere in qualsiasi forma e/o attraverso qualsiasi canale, direttamente o indirettamente, diverso dalla vendita attraverso Sito alcun Prodotto consegnato a Her-Age per la promozione alla vendita ai sensi delle presenti CGC.

6.3 Un Prodotto è da considerarsi venduto quando:

(i) viene venduto per il tramite di Her-Age ad un Compratore e non viene restituito a Her-Age entro il 72 ore dal ricevimento del prodotto presso l’indirizzo del Compratore (di seguito, il “Periodo di Reso”);

(ii) viene perso, rubato, danneggiato o distrutto durante la Spedizione Approvata (come di seguito definita) e mentre è nel possesso di Her-Age;

(di seguito, il “Prodotto Venduto”).

6.4 Successivamente al ricevimento o alla presa in consegna del Prodotto dal Venditore, Her-Age invierà una notifica di conferma del ricevimento del Prodotto all’indirizzo e-mail fornito dal Venditore al momento della registrazione al Sito.

6.5 Una volta ricevuti da Her-Age, i Prodotti saranno valutati, ispezionati ed autenticati da Her-Age (di seguito, la “Validazione Her-Age”) anche tramite terze parti e fornitori di Her-Age. Dopo la Validazione Her-Age, il Venditore sarà in grado di accedere al proprio Account Venditore sul Sito e trovare ogni Prodotto che è stato accettato per la promozione alla vendita (di seguito, il “Prodotto Accettato”) ed il relativo prezzo determinato da Her-Age per tale Prodotto Accettato.

6.6 Il prezzo di ciascun Prodotto Accettato verrà determinato ad esclusiva discrezione di Her-Age, fatto salvo quanto previsto dal successive articolo 11 e, in ogni caso, senza pregiudizio per la Gestione Prezzo come di seguito definita e descritta al paragrafo 11.2, lettera b.

6.7 Il Prodotto Accettato sarà processato ed indicato come disponibile per la vendita sul Sito e su altri siti partner, sull’App Her-Age, negli eventuali negozi pop-up store e, ad esclusiva discrezione di Her-Age, potrà essere contemporaneamente esposto e promozionato in vendita nei Negozi Her-Age.

6.8 Her-Age può utilizzare i Prodotti Accettati per qualsiasi servizio fotografico o evento pop-up (inclusa la promozione della vendita dei Prodotti Accettati durante tale evento) organizzati da Her-Age in qualsiasi parte nel mondo.

7 PERDITA O DANNEGGIAMENTO DEI PRODOTTI DURANTE LA SPEDIZIONE O LA CONSERVAZIONE

7.1             Her-Age accetterà i Prodotti dal Venditore unicamente per prestare i servizi Her-Age e la promozione della loro vendita. Il Venditore sarà responsabile per ogni rischio di perdita o danneggiamento del Prodotto fino a che Her-Age non entrerà fisicamente in possesso del Prodotto in questione.

7.2             Diversamente, nel caso in cui il Venditore utilizzi l’etichetta di spedizione approvata e pre-pagata che fornisce un metodo di spedizione approvato da Her-Age, Her-Age si assume il rischio di perdita o danneggiamento dei Prodotti al momento della spedizione (di seguito, la “Spedizione Approvata”):

7.3             Se un Prodotto viene smarrito, danneggiato o rubato durante la Spedizione Approvata o mentre è nel possesso di Her-Age, tale Prodotto viene considerato un Prodotto Venduto e Her-Age è tenuta a corrispondere il Profitto Venditore (come di seguito definito). Tale Profitto Venditore è calcolato, a seconda del caso, (a) sulla base del prezzo di vendita stimato al momento della perdita o del danno, se tale perdita o danno si verifichino durante la Spedizione Approvata; (b) sul Prezzo Iniziale di Vendita (come di seguito definito) se la perdita o il danno si verifichino dopo la Validazione Her-Age; oppure (c) sulla base del Prezzo Finale di Vendita (come di seguito definito) se la perdita o il danno si verifichino dopo la vendita.

7.4             Questo rimedio costituirà l’unico rimedio e l’unica forma di ricorso nei confronti di Her-Age per i Prodotti smarriti, danneggiati o rubati e si terrà in luogo di qualsiasi altro rimedio altrimenti disponibile in base alla legge o all’equità.

 

8 CONDIZIONI DI ACCETTAZIONE DEI PRODOTTI

8.1 Dopo il ricevimento o la presa in consegna del Prodotto dal Venditore, Her-Age valuterà, ispezionerà e autenticherà ciascun oggetto al fine di determinare, a sua esclusiva discrezione, l’autenticità, la qualità ed il valore del Prodotto in questione. Le condizioni dell’oggetto incideranno sulla valutazione di Her-Age.

8.2 Her-Age accetta il Prodotto per la promozione della sua vendita soltanto se:

(i) le dichiarazioni e le garanzie del Venditore contenute nel successivo articolo 14 sono vere e corrette;

(ii) Her-Age determina a sua esclusiva discrezione che (a) il Prodotto è in condizioni eccellenti o molto buone (i.e. non si è deteriorato a causa di eccessiva usura e/o uso); (b) il Prodotto è lavato, pulito e inodore; (c) se un Prodotto necessita di un minimo di messa a punto per rimetterlo in commercio ed evitare che venga respinto e restituito al Venditore, resta inteso che in tal caso Her-Age può assumere le iniziative ritenute appropriate a sua esclusiva discrezione; (d) che in caso di Prodotto stagionale, questo è accettato solo nella stagione di utilizzo;

(iii) il Prodotto è incluso nell’attuale elenco brand di Her-Age (di seguito, la “Elenco Brand”) al momento della valutazione; e

(iv) Her-Age determina a sua esclusiva descrizione che il Prodotto è autentico.

Ferma restando la valutazione e l’ispezione da parte di Her-Age dell’autenticità dei Prodotti, il Venditore in questione sarà e rimane il solo responsabile di tale autenticità nei confronti dei Compratori e di qualsiasi terza parte, così come il Venditore rimarrà l’unico responsabile della titolarità del Prodotto dichiarando che lo stesso è di sua esclusiva proprietà e che non è risultato di furto o ricettazione.

8.3 I Prodotti che non rispettano tutti i suddetti criteri non saranno accettati da Her-Age e alternativamente saranno:

(i) restituiti al Venditore, a sue spese, allo stesso indirizzo presso il quale Her-Age ha preso in consegna il Prodotto o all’indirizzo fornito dal Venditore al momento della registrazione al Sito; o

(ii) con il consenso scritto del Venditore, donati ad un’organizzazione benefica scelta da Her-Age.

 

9 IMPOSSIBILITÀ DI AUTENTICAZIONE DEL PRODOTTO E PRODOTTI CONTRAFFATTI

9.1 Il Venditore è il solo responsabile per garantire l’autenticità di ciascun Prodotto che fornisce a Her-Age per promuoverne la vendita. Nel caso in cui Her-Age non fosse in grado di accertare l’autenticità di un Prodotto, Her-Age potrà, a sua esclusiva discrezione, rifiutare il Prodotto non autenticato.

9.2 Se Her-Age in qualsiasi momento dovesse determinare che un Prodotto è contraffatto, Her-Age notificherà la propria determinazione al Venditore e gli concederà l’opportunità di fornire prova dell’acquisto/altra prova dell’autenticità del Prodotto che sia accettabile per Her-Age.

9.3 Se Her-Age non dovesse riuscire ad accertare l’autenticità di un Prodotto, Her-Age ne predisporrà la restituzione al Venditore, a spese di quest’ultimo. Se il Prodotto non venisse recuperato dal Venditore, a sue spese, entro 45 giorni dalla notifica inviata al Venditore, il Prodotto verrà distrutto senza che il Venditore possa rivendicarne la restituzione e/o l’indennizzo.

9.4 Se Her-Age dovesse definitivamente determinare che il Prodotto è contraffatto, Her-Age informerà immediatamente l’autorità competente e invierà detto Prodotto a tale autorità.

9.5 Il Venditore prende atto, comprende e conferma di essere a conoscenza di tutte le leggi e i regolamenti applicabili ai Prodotti che sono contraffatti o che sono stati rubati o frutto di ricettazione. Il Venditore inoltre comprende e accetta che Her-Age collabora con qualsiasi autorità e con le forze dell’ordine per l’applicazione di tali leggi e regolamenti. 

 

10 DURATA DEL SERVIZIO DI PROMOZIONE DELLE VENDITE E RESTITUZIONE DEI PRODOTTI

10.1 La durata del servizio di promozione alle vendite mediante appalto delle prestazioni di servizi ex art. 1655 c.c. relativa a ciascun Prodotto inizia alla data della Validazione Her-Age e termina 365 giorni dopo (di seguito, la “Durata del Servizio di Her-Age”). Il Venditore potrà richiedere, per iscritto, a Her-Age di estendere la Durata del Servizio e Her-Age, a sua esclusiva discrezione, potrà rifiutare di accettare tale estensione.

10.2 Durante il periodo di Durata del Servizio, il Venditore potrà richiedere, per iscritto, a Her-Age  di restituire il Prodotto (di seguito, la “Richiesta di Restituzione Prodotto”), finché il Prodotto è ancora disponibile.

10.3 Previa Richiesta di Restituzione Prodotto da parte del Venditore, Her-Age compirà ogni sforzo commercialmente ragionevole per rimuovere il Prodotto dal Sito, dall’App Her-Age, da qualsiasi Negozio e da qualsiasi negozio pop-up Her-Age.

10.4 Se il Venditore notifica la propria Richiesta di Restituzione Prodotto entro 120 giorni dalla Validazione Her-Age, i costi di spedizione saranno sostenuti dal Venditore e Her-Age li detrarrà dai Profitti Venditore (come di seguito definiti) pendenti. Se il Venditore non ha sufficienti Profitti Venditore (come di seguito definiti) pendenti per poter coprire i costi di spedizione, Her-Age non avrà alcun obbligo di restituire il Prodotto al Venditore, a meno che, e fino a che, il Venditore non abbia pagato a Her-Age i costi di restituzione prima della spedizione. Inoltre, Her-Age addebiterà al Venditore una commissione di importo pari ad Euro 30 Italia e Euro 50 Europa per ogni Prodotto, commissione che rifletterà i costi iniziali sostenuti da Her-Age per la conservazione, la catalogazione e gli scatti fotografici dell’oggetto in fase di predisposizione alla vendita.

10.5 Se il Venditore notifica la sua Richiesta di Restituzione Prodotto nei 90 giorni dalla Validazione Her-Age, il Prodotto verrà restituito a spese di Her-Age e nessuna commissione verrà addebitata al Venditore sino a concorrenza dell’importo di Euro 30, per commissioni superiori alla predetta soglia la differenza rimarrà a carico del Venditore.

10.6 Laddove i Prodotti venissero restituiti al Venditore, egli sarà ritenuto responsabile per ogni tariffa doganale.

10.7 Se un Prodotto resta invenduto al termine della Durata del Servizio di Her-Age, Her-Age avviserà Venditore e, ad opzione del Venditore nonché a spese di Her-Age sino a concorrenza dell’importo di Euro 30:

(i) restituirà il Prodotto al Venditore; o

(ii) donerà il Prodotto ad un’organizzazione benefica scelta da Her-Age.

10.8 Se il Venditore non risponde all’avviso di Her-Age entro quattordici (14) giorni dal momento in cui ne ha avuto conoscenza, Her-Age potrà liberamente disporre del Prodotto invenduto, alternativamente donandolo ad un’organizzazione benefica di sua scelta oppure distruggendo il Prodotto in questione.

10.9 I Prodotti oggetto di reso da parte degli account di Her-Age dovranno essere sempre muniti del cartellino di integrità del Prodotto apposto da Her-Age, pena l’impossibilità di rendere il Prodotto laddove risultasse manomesso, strappato e/o comunque compromesso nell’aspetto esteriore.

 

11 DETERMINAZIONE DEL PREZZO E GESTIONE

11.1 Ai sensi delle presenti CGC, Her-Age esporrà i Prodotti sul Sito e sui siti partner, sull’App Her-Age, nei negozi pop-up per la promozione alla vendita. Ad esclusiva discrezione di Her-Age, i Prodotti potranno essere contemporaneamente esposti e messi in vendita negli eventuali Negozi Her-Age. Her-Age compirà ogni sforzo commercialmente ragionevole per promuovere la vendita dei Prodotti.

Il Venditore prende atto ed accetta che:

- Her-Age, a sua esclusiva discrezione, determinerà il prezzo di vendita iniziale di ogni Prodotto (di seguito, il “Prezzo Iniziale di Vendita”) sulla base della sua valutazione del Prodotto (prendendo in considerazione, tra l’altro, il marchio, il tipo di Prodotto, l’anno di produzione, il colore e naturalmente le condizioni), insieme alla propria determinazione del corrente prezzo di mercato per quel Prodotto.

- Il Venditore può richiedere la funzione di gestione del prezzo prima che il prodotto sia promozionato in vendita (di seguito, il “Gestione Prezzo”). In tale caso, entro definiti lassi di tempo, che saranno determinati di volta in volta da Her-Age, il Venditore avrà la possibilità, di chiedere ad Her-Age di modificare il Prezzo Iniziale di Vendita, come determinato da Her-Age, ai sensi del paragrafo 11.2 lettera a), attraverso l’aumento del Prezzo Iniziale di Vendita fino ad una percentuale inclusa nell’intervallo determinato di volta in volta da Her-Age. Resta intesto che tale intervallo sarà in ogni caso ricompreso tra un minimo del 10% e un massimo del 20%. Se per qualsiasi motivo il Venditore non fosse soddisfatto del prezzo iniziale di vendita, potrà richiedere la restituzione dei suoi articoli senza sostenere alcuna spesa.

- Her-Age potrà applicare revisioni di prezzo durante il periodo di Durata del Servizio di promozione alle vendite, a sua esclusiva discrezione e senza avvisare il Venditore, al fine di mettere sul mercato e vendere in modo efficiente i Prodotti, fatto salvo il caso in cui il Venditore e Her-Age concordino per iscritto di vendere il Prodotto ad un prezzo specifico. La percentuale di profitto del Venditore verrà sempre calcolata in base al prezzo finale di vendita. Her-Age per propria policy non desidera evidenziare sconti prezzo. 

 

12 PROFITTI VENDITORE E PAGAMENTI

Ai fini di questo documento,

“Site Credit” indica un account nel nome del Venditore sul quale il Venditore può accreditare qualsiasi ammontare a lui dovuto in ragione dei propri Prodotti Venduti. Il Venditore potrà usare tale Site Credit esclusivamente per effettuare acquisti sul Sito.

“Prezzo (Escluso IVA)” indica il prezzo al quale il Prodotto diviene un Prodotto Venduto, dopo l’applicazione delle eventuali revisioni e delle promozioni applicabili ed esclusa la spedizione.

“Percentuale Venditore” indica il tasso per calcolare i profitti rimessi da Her-Age al Venditore, in forza dell’appalto dei servizi compreso quello di incassare il prezzo per conto del Venditore medesimo,  per ciascun Prodotto che diventa un Prodotto Venduto, come previsto e indicato nella sottostante tabella (di seguito, la “Profitti Venditore”):

60%	Con un prezzo (escluso IVA) tra € 150 e € 1.000
65%	Con un prezzo (escluso IVA) € 1000 e € 3.000
70%	Con un prezzo (escluso IVA) € 3000 e € 5000
75%	Con un prezzo (escluso IVA) superiore a 5.000 euro

 

Le commissioni per i servizi prestati si intendono sempre IVA esclusa laddove applicabile per legge.

12.1 Le percentuali dovute al Venditore relativamente alla vendita dei Prodotti sono calcolate in conformità con i tassi illustrati e descritti nella definizione di “Percentuale Venditore” che precede. Il profitto per il Venditore è rappresentato dal prezzo di vendita finale al netto delle commissioni per i servizi di Her-Age.

Fermo restando quanto sopra, Her-Age potrà anche, di volta in volta, a sua esclusiva discrezione operare altri cambiamenti alla struttura delle sue percentuali ed alle Percentuali Venditore che diverranno validi ed effettivi a partire dal 15° giorno successivo al ricevimento, da parte del Venditore, della notifica inviata da Her-Age.

12.2 Calcolo del Profitto Venditore: Her-Age rimetterà al Venditore un Profitto Venditore per ciascun Prodotto Venduto. Il Profitto Venditore sarà pari al Prezzo Finale di Vendita del Prodotto moltiplicato per la Percentuale Venditore applicabile, dunque, al netto delle commissioni per i Servizi di Her-Age. Il Profitto Venditore sarà il solo compenso che il Venditore riceverà ai sensi delle presenti CGC.

12.3 Pagamenti:

a) Her-Age corrisponderà i Profitti Venditore (i) il 15° giorno di ciascun mese per le vendite avvenute tra il 1° e il 15° giorno del mese precedente; e (ii) il 31° giorno di ciascun mese per le vendite avvenute tra il 16° e il 31° (o, a seconda del caso, l’ultimo giorno) giorno del mese precedente. Ai fini della presente disposizione, la vendita di un Prodotto si intende avvenuta nel momento in cui il relativo ordine di vendita di tale Prodotto è stato eseguito dal Compratore.
b) A scelta del Venditore, i pagamenti saranno effettuati al Venditore (i) direttamente sul suo Site Credit; oppure (ii) mediante bonifico bancario o PayPal. Il Venditore potrà scegliere in qualsiasi momento un altro metodo di pagamento, restando inteso che il nuovo metodo di pagamento si applicherà a tutti i profitti risultanti dalle vendite verificatesi successivamente alla scelta del nuovo metodo di pagamento.

12.4 Controversie: in caso di controversie tra il Venditore e Her-Age, Her-Age non avrà alcun obbligo di pagare qualsiasi profitto o altro importo dovuto al Venditore, incluso a titolo esemplificativo e non esaustivo, gli importi estranei alla controversia, almeno fino a quando la controversia non sarà risolta. Her-Age potrà trattenere qualsiasi Profitto Venditore dovuto (incluso quello dovuto per il Prodotto Venduto non soggetto a controversia) in totale o parziale soddisfacimento di qualsiasi somma dovuta dal Venditore a Her-Age.

 

13 ESCLUSIONE DI GARANZIE; LIMITAZIONI DI RESPONSABILITÀ

13.1 Il Venditore espressamente accetta e prende atto che:

L’utilizzo da parte del Venditore dei Servizi Her-Age è a suo completo rischio. Il servizio di di Her-Age ed i Servizi Her-Age sono forniti “così come sono” e “come disponibili”. Her-Age nega espressamente qualsiasi tipo di garanzia, sia esplicita che implicita, incluse a titolo esemplificativo e non esaustivo, le garanzie implicite di commerciabilità, rese per uno scopo particolare, e non violazione.

13.2 Her-Age non garantisce che:

(a) i Servizi Her-Age incontreranno le necessità del Venditore; o

(b) i Servizi Her-Age saranno ininterrotti, puntuali, sicuri, o privi di errori. Nessuna comunicazione o informazione, sia orale che scritta, che il Venditore ottiene dai Servizi Her-Age o attraverso ovvero dal Sito potranno generare qualsivoglia garanzia non espressamente indicata nelle presenti CGC.

13.3 Her-Age ed i suoi incaricati, dipendenti, agenti, partner, fornitori, terze parti e licenzianti non potranno essere considerati responsabili nei confronti del Venditore per qualsiasi danno diretto, indiretto, incidentale, speciale, consequenziale o esemplare ovvero per danni derivanti da perdite di profitto, avviamento, uso, dati, o per ogni altra perdita immateriale (anche se Her-Age fosse stata avvisata della possibilità di tali danni) che risultino da:

(a) l’utilizzo o l’impossibilità di utilizzo dei Servizi Her-Age o del Sito;

(b) l’accesso non autorizzato o l’alterazione delle comunicazioni o dei dati del Venditore;

(c) le attività contemplate nelle presenti CGC; ovvero

(d) ogni altra questione riguardante i Servizi Her-Age o le presenti CGC.

13.4 In nessun caso la responsabilità di Her-Age ai sensi delle presenti CGC potrà eccedere l’importo che è stato effettivamente ricevuto come risultato dei servizi di promozione alla vendita dei Prodotti del Venditore.

13.5 Le precedenti esclusioni e limitazione sono parte essenziale alla base del business di Her-Age, e Her-Age non sottoscriverebbe le presenti CGC senza tali esclusioni e limitazioni. Si prega di consultare dei professionisti per comprendere il contenuto delle presenti CGC e per una valutazione di ogni specifica opinione, comunicazione, prodotto, servizio, o altro contenuto.

 

14 RESPONSABILITÀ DEL VENDITORE

14.1 Il Venditore dichiara e garantisce che (a) ha pieni poteri e libertà di accettare le presenti CGC, (b) utilizza il Sito per scopi personali, e (c) tutti i dati personali (e quindi, nome, cognome e indirizzo) forniti con la registrazione sul Sito sono veri, corretti ed aggiornati.

14.2 Il Venditore dichiara e garantisce che le informazioni ed i documenti forniti dal Venditore durante il processo di registrazione o su richiesta di Her-Age sono corretti, veri ed aggiornati. Il Venditore si obbliga inoltre a mantenere sempre aggiornate le informazioni indicate sull’Account Venditore.

14.3 Attraverso la registrazione al Sito, il Venditore accetta, anche ai sensi dell’informativa privacy di Her-Age, che tutte le informazioni fornite a Her-Age siano processate e trattate in conformità a quanto previsto nell’informativa privacy e in ogni legge applicabile.

14.4 Il Venditore dichiara e garantisce che tutte le informazioni che trasmetterà a Her-Age:

a) sono vere, accurate e complete;
b) non sono false, ingannevoli o fuorvianti;
c) non contengono alcun link ad altri siti web il cui contenuto potrebbe causare una violazione delle presenti CGC.

14.5 Il Venditore inoltre dichiara e garantisce che:

a) è il solo ed unico proprietario dei Prodotti, ha un titolo valido e commerciabile relativamente ad ogni Prodotto ed ha il diritto di vendere tali Prodotti;
b) nessun Prodotto è soggetto a pegno o altri vincoli di sorta;
c) i Prodotti non includono beni contraffatti;
d) i Prodotti non ledono, violano o costituiscono un’indebita appropriazione di marchi, copyright o altri diritto di proprietà intellettuale o altri diritti proprietari di terze parti, di qualsiasi legge statale o federale, o di qualsiasi regolamento amministrativo;
e) non utilizza i Servizi Her-Age o il Sito con scopi fraudolenti e/o illegali;
f) non utilizza i Servizi Her-Age per conto di soggetti terzi, fatte salvi i casi espressamente autorizzati per iscritto da Her-Age;
g) non effettua attività di spammingo phishing;
h) non svolge alcuna attività che potrebbe agevolare la crescita di virus informatici o altri strumenti distruttivi e codici che possono danneggiare, interferire, intercettare, disattivare, distruggere qualsiasi software e hardware, dato ovvero informazione personale.
i) non svolge alcuna attività che persegue il fine di minare l’integrità dei dati o dei sistemi utilizzati da Her-Age e/o da qualsiasi altro Venditore e/o Compratore o che raggiunge lo scopo di ottenere un accesso non autorizzato a tali dati o sistemi;
j) non effettuerà, o tenterà di effettuare transazioni con i Compratori al di fuori del Sito.

14.6 Il Venditore dovrà manlevare e tenere indenne Her-Age da tutti i danni, cause, controversie, decisioni, perdite, spese e costi, inclusi, a titolo esemplificativo e non esaustivo, spese e costi legali , subiti e/o subendi da Her-Age per effetto e/o in relazione alla violazione da parte del Venditore delle presenti CGC e/o alla non veridicità e/o accuratezza delle dichiarazioni e garanzie contenute nelle presenti CGC e prestate da ciascun Venditore per effetto della accettazione delle presenti CGC in sede di registrazione sul Sito, nonché come risultato o derivanti, in qualsiasi modo, dalla pubblicazione e/o dalla promozione alle vendite del Prodotto da parte di Her-Age, incluse, a titolo esemplificativo ma non esaustivo, cause civili o penali relative all’autenticità, alla conformità o alla proprietà del Prodotto, legalità delle vendite o violazione del copyright o del marchio.

 

15 FORZA MAGGIORE

15.1 Her-Age non potrà mai essere ritenuta responsabile per un ritardo o un errore o un’interruzione riguardo ai contenuti o ai Servizi Her-Age forniti sul Sito, che derivino direttamente o indirettamente da eventi naturali o eventi che non rientrino nel controllo di Her-Age, inclusi, a titolo esemplificativo e non esaustivo, problemi legati a Internet, telecomunicazioni o altri guasti alle apparecchiature, mancanza di elettricità, scioperi, conflitti di lavoro, disordini, insurrezioni, disordini civili, manodopera o carenza di materiali, incendi, inondazioni, tempeste, esplosioni, guerre, azioni governative, ordinanze di tribunali nazionali o internazionali o la loro mancata esecuzione da parte di terzi.

 

16 DIRITTI DI PROPRIETÀ INTELLETTUALE

16.1 Her-Age è l’unico proprietario di tutti i diritti e contenuti del Sito e dei Servizi Her-Age forniti sul Sito. Il Sito e i Servizi Her-Age rappresentano segreti commerciali e altri diritti di proprietà intellettuale protetti a livello globale dal diritto d’autore e dalle leggi applicabili. Tutti i diritti di proprietà e di proprietà intellettuale del Sito e dei Servizi Her-Age sono e saranno di proprietà esclusiva di Her-Age.

16.2 Il nome “Her-Age”, il logo, il pittogramma e tutte le icone e loghi collegati e marchi o marchi registrati sono marchi di proprietà di Her-Age. Qualsiasi copia, modifica, utilizzo o pubblicazione non autorizzati di tali marchi e loghi sono severamente vietati e soggetti al risarcimento del danno.

16.3 Il format “Her-Age modello di business innovativo e format autoriale” è soggetto alla tutela del diritto d’autore essendo stato depositato SIAE alla Sezione OLAF.

 

17 CONDIZIONI PARTICOLARI

17.1 Autenticazione. Her-Age è espressamente autorizzata a rivolgersi a terze parti così come svolgere il servizio internamente per quanto riguarda l’autenticazione dei Prodotti. Allo stato attuale il servizio sarà fornito dal certificatore Graham Wetzbarger in New York (Certificatore), attraverso l’analisi delle immagini ad alta risoluzione. Se il prodotto è idoneo, il Venditore potrà ricevere da Her-Age un certificato di autenticità insieme ad una lettera firmata dal Certificatore, attraverso la VAULTIK APP. Il certificato di autenticità è protetto nella blockchain tramite App.

17.2 Gift Card. Her-Age riconosce la possibilità al Venditore ed al Compratore di acquistare Her-Age Coins, che non sono criptovalute bensì buoni corrispettivo, che danno diritto ad un controvalore in Euro spendibile nella piattaforma. Dal punto di vista giuridico trattasi di documento di legittimazione e titolo improprio ex art. 2002 c.c. caratterizzato da un diritto di credito con particolare efficacia probatoria rafforzata.

 

 

18 RECESSO

18.1 Ai sensi dell’art. 49, paragrafo 1, lettera (h) del Codice del Consumo (come di seguito definito), il Venditore ha il diritto di recedere dalle presenti CGC, senza fornire alcuna motivazione, entro 14 giorni dalla sottoscrizione delle presenti CGC (di seguito, il “Periodo di Recesso”). Per esercitare il diritto di recesso, il Venditore dovrà notificare per iscritto (ad esempio, mediante e-mail) la propria decisione di recedere dalle presenti CGC a Her-Age S.r.l., Via Aosta n. 13, 20155 Milano (MI), indirizzo e-mail: her-age@legalmail.it .Al fine di rispettare il Periodo di Recesso, il Venditore dovrà inviare una comunicazione di esercizio del diritto di recesso prima della data di scadenza del periodo di cui sopra.

18.2 Successivamente all’esercizio del recesso dalle presenti CGC, Her-Age sospenderà ogni proprio servizio e restituirà i Prodotti eventualmente ricevuti dal Venditore e rimborserà eventuali pagamenti effettuati dal Venditore al netto e fatta salva l’applicazione di una penale pari al 1% del valore di vendita dei Prodotti con un minimo fisso garantito di Euro 100,00, in ogni caso non più tardi di quattordici (14) giorni dal giorno in cui Her-Age avrà avuto conoscenza della decisione di esercitare il diritto di recesso. Tali rimborsi saranno effettuati utilizzando il medesimo strumento di pagamento utilizzato dal Venditore, salvo che sia stato concordato diversamente. In ogni caso, il Venditore non dovrà sopportare alcun costo in conseguenza di tali rimborsi.

18.3 Nella misura permessa dalle leggi applicabili, l’atto di inviare un qualsiasi Prodotto a Her-Age o l’atto da parte di Her-Age di prendere in consegna un qualsiasi Prodotto prima del termine del Periodo di Recesso sarà considerato quale espressa rinuncia, da parte del Venditore, all’esercizio del diritto di recesso relativamente al Prodotto già ricevuto da Her-Age. Pertanto, tale Prodotto resterà assoggettato alle presenti CGC.

18.4 Her-Age ha il diritto di recedere dalle presenti CGC, senza preavviso e senza fornire alcuna motivazione. Per poter esercitare il diritto di recesso, Her-Age notificherà per iscritto (ad esempio, via e-mail) al Venditore la decisione di esercitare il diritto di recesso all’indirizzo e-mail fornito dal Venditore durante la procedura di registrazione al Sito. In tal caso le previsioni di cui al paragrafo 17.2 che precede troveranno applicazione mutatis mutandis.

 

19 COMUNICAZIONI

19.1 Tutte le comunicazioni legali o le richieste da o sul Sito o tramite i Servizi Her-Age possono essere effettuate per iscritto ed inviate a Her-Age tramite e-mail (salvo che diversamente specificato da Her-Age) al seguente indirizzo: her-age@legalmail.it e customerservice@her-age.com

19.2 Her-Age provvederà ad effettuare tutte le comunicazioni al Venditore all’indirizzo e-mail o l’indirizzo fisico fornito dal Venditore durante la procedura di registrazione al Sito. Il Venditore è il solo responsabile per l’aggiornamento costante di tali informazioni fornite a Her-Age.

 

20 MISCELLANEA

20.1 Her-Age ed il Venditore sono e saranno sempre contraenti indipendenti; tra i medesimi non è in essere alcun rapporto di joint venture, lavoro subordinato o di franchising.

20.2 Qualora una o più disposizioni delle presenti CGC dovessero rivelarsi nulle o altrimenti invalide o inefficaci, Her-Age ed il Venditore resteranno vincolati da tutte le altre previsioni di cui alle presenti CGC. In tal caso, essi sostituiranno le disposizioni invalide o non vincolanti con altre disposizioni valide e vincolanti che abbiano, nella misura massima possibile, un effetto simile a quelle invalide o inefficaci, tenendo in considerazione i contenuti e lo scopo delle presenti CGC.

20.3 L’eventuale tolleranza di una delle parti ai comportamenti posti in essere dell’altra parte in violazione delle presenti CGC non implica rinuncia dei diritti derivanti dalle disposizioni violate, né al diritto di pretendere l’adempimento di tutti i termini e le condizioni illustrati nelle presenti CGC.

20.4 Il Venditore non è autorizzato a cedere le presenti CGC né alcun interesse che il Venditore potrebbe avere in tali CGC senza il previo consenso scritto da parte di Her-Age. Qualsiasi cessione vietata sarà considerata nulla o comunque inefficace nei confronti di Her-Age.

20.5 I titoli degli articoli utilizzati nelle presenti CGC sono stati disposti per mera convenienza e non possono essere utilizzati per interpretare il significato o l’intento delle presenti CGC.

 

21 LEGGE APPLICABILE

21.1 Le presenti CGC sono disciplinate e sono da interpretarsi in conformità alla legge italiana in relazione all’appalto di servizi art. 1655 c.c. ed in particolare (ma senza limitazioni) in conformità al Codice del Consumo (d.lgs. 6 settembre 2005, n. 206, di seguito, il “Codice del Consumo”) e del d.lgs. 9 aprile 2003, n. 70, disciplinante il commercio elettronico.

 

22 GIURISDIZIONE E RISOLUZIONE DELLE CONTROVERSIE

22.1 Qualsiasi controversia relativa all’interpretazione, alla validità e all’esecuzione o in qualsiasi modo derivante dalle presenti CGC e/o dalle attività connesse all’utilizzo del Sito e/o dei Servizi Her-Age sarà devoluta alla competenza esclusiva del foro di Milano.

22.2 Her-Age suggerisce al Venditore di render previamente nota l’esistenza di una qualsiasi controversia contattando il dipartimento legale di Her-Age scrivendo a her-age@legalmail.it e customerservice@her-age.com .

22.3 Il Venditore può attivare una procedura per la composizione stragiudiziale della controversia ai sensi dei requisiti richiesti dagli artt. 141 ss. del Codice del Consumo. Nel caso in cui il Venditore attivi la precedente procedura, Her-Age garantisce la sua partecipazione ad un tentativo di conciliazione amichevole che l’utente può promuovere davanti a RisolviOnline, un servizio indipendente e istituzionale fornito dalla Camera Arbitrale della Camera di Commercio di Milano.

22.4 Il Venditore ha anche il diritto di utilizzare la procedura di risoluzione delle controversie online disponibile al http://ec.europa.eu/consumers/odr/.

Ai sensi e per gli effetti di cui agli artt. 1341 e 1342 del Codice Civile italiano, ove applicabile, il Venditore dichiara di aver letto e di aver espressamente e specificatamente approvato i seguenti articoli:
